These Service Terms and Conditions ("Terms") govern the provision of consultancy and professional services by COGNIORA CONSULTING LTD ("we", "our", "us") to our clients ("you", "your").
By instructing us to provide services, accepting a quotation, signing a proposal or commencing work, you agree to these Terms.

We provide professional business consultancy services, including but not limited to:
• Operations and Maintenance (O&M) Manual consultancy
• Service manual consultancy
• Operational documentation
• Standard Operating Procedures (SOPs)
• Business process improvement
• Compliance support
• Documentation management
• Digital transformation consultancy
• Technical documentation
Additional services may be agreed in writing.
Any quotation we provide is valid for 30 calendar days unless otherwise stated.
A quotation does not create a binding contract until accepted by both parties.
We reserve the right to withdraw or amend quotations before acceptance.
You agree to:
• Provide accurate information.
• Supply requested documentation promptly.
• Respond to requests for information within a reasonable time.
• Ensure you have authority to provide any documents or data shared with us.
Delays caused by incomplete information may affect project timelines.
Delivery dates are estimates unless expressly agreed in writing.
We will use reasonable skill and care to complete services within agreed timescales.
We are not responsible for delays caused by:
• Client actions or omissions.
• Third-party suppliers.
• Events outside our reasonable control.
Fees are set out in our quotation or proposal.
Unless otherwise agreed:
• Invoices are payable within 14 days of the invoice date.
• Payments must be made in Pounds Sterling (GBP).
• Late payments may incur statutory interest and reasonable debt recovery costs where permitted by law.
We reserve the right to suspend work where invoices remain unpaid.
If you request work outside the agreed scope, we may:
• Provide a revised quotation.
• Adjust delivery times.
• Charge additional fees.
Any variation should be agreed in writing before additional work begins.
Both parties agree to keep confidential information secure and not disclose it to third parties unless:
• Required by law.
• Necessary to perform the services.
• Authorised in writing by the other party.
This obligation continues after the completion of the project.
Unless otherwise agreed in writing, all intellectual property rights in our methodologies, templates, tools, software, processes and pre-existing materials remain the property of COGNIORA CONSULTING LTD.
Upon full payment of all fees due, ownership of bespoke documents specifically created for the client as part of the agreed services will transfer to the client, unless otherwise stated in the proposal or quotation.
We retain the right to use our general knowledge, experience, methodologies and non-confidential know-how in future engagements.
Our services are provided based on the information supplied by the client.
Clients remain responsible for reviewing all deliverables before implementation.
Where regulatory compliance is required, clients should obtain independent professional or legal advice where appropriate.
To the fullest extent permitted by law, our total liability arising from the provision of services shall not exceed the total fees paid by the client for the relevant engagement.
We shall not be liable for:
• Loss of profits.
• Loss of business opportunities.
• Loss of goodwill.
• Indirect or consequential losses.
Nothing in these Terms limits liability for:
• Fraud or fraudulent misrepresentation.
• Death or personal injury caused by negligence.
• Any liability that cannot legally be excluded.
Either party may terminate an engagement by giving written notice where:
• The other party commits a material breach of these Terms.
• The breach is not remedied within 14 days of written notice.
We may terminate services immediately where:
• Invoices remain unpaid.
• False information has been provided.
• Continuing the engagement would be unlawful.
The client remains liable for work completed up to the termination date.
Neither party shall be liable for delays or failure to perform obligations due to circumstances beyond their reasonable control, including:
• Natural disasters.
• Government restrictions.
• Industrial action.
• Internet outages.
• Cyber incidents.
• Power failures.
Both parties agree to comply with applicable UK data protection legislation, including the UK GDPR and the Data Protection Act 2018.

If you are dissatisfied with our services, please contact us as soon as possible.
We will investigate your concerns and aim to respond within a reasonable period.
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
